Holly Wright

Co-founder/Director

As the first female Co-founder of a medicinal cannabis company in New Zealand, Holly Wright is a pioneer leading the way for other women in the cannabis industry. Holly’s goal is to make medicinal cannabis part of a more holistic and wellness-centred approach to treating people suffering from chronic pain and mental health challenges. Holly’s initial interest in medicinal cannabis was sparked by the opportunity to improve the quality of life for terminally ill patients without relying heavily on opioids. After witnessing the negative side effects opioids can have, Holly’s main focus is to further research into how medicinal cannabis can be used to minimise, or even replace, the use of opioids. To help achieve this goal and further build on her extensive knowledge of the cannabis plant, Holly undertook postgraduate studies in 2020 to successfully complete a series of papers in the Science of Medicinal Cannabis at Auckland University of Technology (AUT).

Paul Lee

Paul’s key strengths are in developing investment strategies, project management, contract negotiation, sales, marketing and business strategy, developed through his 20 years of business experience. Organic Genetics Journey

Back in 2019, we founded Organic Genetics after numerous discussions around the potential of medicinal cannabis and its ability to help those in need. After seeing our friends and family suffer from the terrible side effects of prescription drugs and opioids, it's only reinforced our desire to provide this wonderful natural alternative.

In 2020 Organic Genetics obtained two separate locations by entering into commercial agreements, setting us up to grow both THC-rich medicinal cannabis and CBD-rich hemp. By cultivating at two locations, we can tap into the potential of both THC-rich medicinal cannabis and CBD-rich hemp plants. Being able to grow both plants is very important within the medicinal cannabis industry, as both play vital roles in treating a wide variety of diseases and chronic illnesses. This access is a major advantage and integral for us to build an extensive product suite, with the ultimate goal of being able to treat more patients and an array of conditions.

Organic Genetics Indoor Cultivation Facility being constructed in Auckland.

Organic Genetics Outdoor Greenhouse location in Northland

In 2021 Organic Genetics signed a commercial agreement with iX Biopharma to distribute their range of award-winning CBD products. We believe this is an exciting partnership for us as well as New Zealand patients as it means we will potentially be able to deliver a premium medicinal cannabis product to the market sooner than anticipated, as well as having the potential to create a steady revenue stream for Organic Genetics from day one.

Forecasted Financial Revenue

We have taken a conservative approach to our financial forecasting, using lower revenue formulas than is generally accepted in the medicinal cannabis industry. Below you will find our 5-year financial forecast for our indoor Medicinal Cannabis operations, outdoor Hemp operations as well as our imported products. You will also find below a copy of our Profit and Loss Forecast. To view the financials in more detail please click the button below.

What's Next For Organic Genetics?

Organic Genetics is so proud of what we have already achieved. Our two locations secured, licenses in their final stages, an international team of industry experts, and now we are ready to take our business into the next phase! We are offering equity in Organic Genetics so that we can begin the interior fit-out of our EU GMP (European Union Good Manufacturing Practice) certified commercial cultivation facility, located in Auckland. Where we aim to house on-site extraction, processing, and manufacturing facilities with the capacity to process 3,628kg of dried cannabis flowers per annum.

Your investment will also contribute towards the first initial product order of Organic Genetics proposed imported products which our Co-founders anticipate to deliver a significant revenue stream from the onset.

Risks & Mitigation

Organic Genetics is a pre-revenue company in an emerging industry. Whilst challenges are inevitable, we have strategically partnered with experienced individuals and companies who have a proven track record in cannabis cultivation, manufacturing and distribution. Organic Genetics is confident that we have the right people and procedures in place to mitigate any challenges that may present themselves. "Because this industry is so new, there has been so much to learn and a lot of challenges to overcome – from navigating the licensing regime to securing the cultivation locations, to building our team and now, capital raising. I had to learn very early on to be flexible and quick to pivot with all our business decisions, adapting to regulation changes and evolving to meet the market’s needs." Holly Wright

GOOD MAGAZINE | September 2021

"The education of medicinal cannabis and awareness of its benefits is also a hurdle that as an industry we need to overcome together. Even with a national movement, a slight shift in stigma, and the international success of cannabis, there’s still a huge need to educate consumers and health care professionals around the potential benefits of medicinal cannabis and how it can be prescribed. "

Good News: Organic Genetics Equity Crowdfunding Campaign has been Extended!

17/09/2021 at 4:24 PM

We just wanted to say a big THANK YOU to everyone who has joined us and invested in Organic Genetics – together you’ve invested over NZ$160k so far! You’re so close to becoming an official investor – we just need to reach our minimum target of NZ$500k. Once that happens, we'll be able to officially welcome you all on board as valued shareholders of Organic Genetics and you’ll be a part of our mission to provide the people of Aotearoa a more natural way to manage their pain and symptoms.

With the country going into lockdown the same week as our campaign going live, it’s meant we’ve been unlucky with our timing, which has unfortunately impacted our raise. In light of these circumstances, and following all the positive conversations we've had with potential investors, we've been able to secure an extension on our raise to allow extra time for consideration - we now have until 26th October to reach our goal!

Extending our raise not only means we can ensure our target is reached, but that all of you who have already pledged, don't miss out on your unique opportunity to invest in this billion-dollar global industry and the future of NZ health.

We do need your support though to make this raise successful. You can help us by making some noise!

Start by:

• Telling your friends, neighbors, and colleagues about this unique opportunity

Share our posts on your social media channels

Share the link to our PledgeMe campaign page: https://www.pledgeme.co.nz/investments/471-organic-genetics

• And if you haven’t already pledged yet, please consider doing so, for a minimum pledge of $250 you too can become a valued shareholder of Organic Genetics.

And most importantly, get in before the 26th of October as we don’t want you to miss out!

Let’s get GROWING together! Holly and Paul – Co-founders of Organic Genetics

Our Director and Co-founder Holly Wright featured in M2Woman magazine this week

16/09/2021 at 12:11 PM

Some awesome coverage coming through from both local and international media. So amazing to see all the support we have behind us. Last night our Director and Co-founder Holly Wright was interviewed by M2Woman magazine. You can find the link to the full article on our website here.

"When starting out in this industry, it was very easy to see the gap between healthcare and wellness. In a lot of healthcare, it’s more about treating and, in some cases masking, symptoms as they come. Organic Genetics is very much focused on a wellness-based approach, which means taking into consideration the true core of the issue that may be causing those symptoms. We believe medicinal cannabis has a lot of potential to be used in conjunction with, and sometimes even in place of traditional medicines, using a more natural and wellness-based approach."

Hey, just wondering if you give a pledge but the $500k is not met, what is the deal them?

    Posted on 20-08-2021 by Luke

Hi Luke, Thanks so much for your question. If our minimum target of $500k is not reached then your investment will not be transacted. PledgeMe only transacts once the campaign closes successfully.

Answered on 20-08-2021 by Organic Genetics

Hi, you said that if you don't reach the $500k target, the pledge won't transact. Does that mean the money invested by everyone will be returned to them? I.e. everyone is returned what they put in?

Posted on 25-08-2021 by L Hahau

Hi there, thanks so much for your question and for your consideration to make a pledge. Yes, correct, if we don't hit our minimum target of $500k no money will be transacted, which means only once the campaign has met its deadline and goal, PledgeMe will process your pledge. No money is taken from investors until this point.

Hi There, I am passionate about medicinal cannabis and have invested in the space and followed the progress of companies here in New Zealand and overseas very closley. I am always looking for new entrants to see what different approach they may be bringing to the industry. I have read your IM and have some questions. Firstly, you mention that you have applied for and been given provisional approvals for various licences. Are you currently cultivating here in New Zealand? Secondly, you mention that one of your key points of difference is your access to the genetic bank of the company in Los Angeles. Do you have these genetics here in New Zealand already? Thanks

    Posted on 27-08-2021 by Simon

Hi Simon thanks so much for your question, we love hearing from industry enthusiasts such as yourself who are excited about the medicinal cannabis space. No, we are not currently cultivating, the funds from our equity crowdfunding will go towards the internal fit-out of our indoor cultivation facility, and our cultivation license is awaiting a site check from the Medicinal Cannabis Agency, if both those steps have been completed we are aiming to begin cultivating by sometime in the first quarter of 2022. In regards to genetics, this step again can only be completed once our facility is finished and cultivation and import licenses are granted.

Hi Cameron thanks so much for your question and for your consideration in joining Organic Genetics as a shareholder. The videos you are referring to are stock footage, we have labeled them on the video as stock footage also. This gives a visual into the medicinal cannabis industry globally and potential facility activities.

    https://www.drugfoundation.org.nz/matters-of-substance/whats-up-with-the-new-medicinal-cannabis-scheme/

On the MoH website their are 32 company's that have licenses all with similar stories the fact is a lot of companies are failing because of the high compliance to sit with minimum quality standards by MoH and the fact that there is no microbial testing done in New Zealand that meets MoH.
In reading the above article what makes you business plan any different and what are your advantages (The organics and genetics as been done before)

Using the USA 409A base Valuation method with a 3.5 multiple on your projected revenue. what you are saying is that the company Valuation is 76M with a discount to 30M.

Posted on 27-08-2021 by John Smith

Hi John, Thank you so much for your detailed question. The minimum quality standards affect both the import of medicinal cannabis products and CBD, as well as the cultivation and manufacturing here in NZ. While the regulations are some of the strictest in the world when it comes to medicinal cannabis, this also works two-fold, protecting the end-users or patients which is ultimately our top priority. Recently, another company in the medicinal cannabis space, Helius Therapeutics, received their GMP certification from Medsafe, which also meets EU GMP standards that are known to be even more rigorous. Therefore, Organic Genetics is taking the proactive approach and implementing EU GMP standards from the design and planning of our indoor cultivation facility through the manufacturing processes to supply. Our UK team and partners in Organic Genetics already produce EU GMP-certified medicinal cannabis products for the UK and international markets, which allows us to utilize the experience and knowledge when it comes to NZ’s minimum quality standards.

Currently, as far as we know there are no third-party testing laboratories here in NZ for medicinal cannabis regarding the microbial count. If testing is done outside of New Zealand, the laboratory or manufacturer must be certified by an authority recognised by Medsafe in their respective country which we don’t foresee an issue for us to achieve.

You can read more in-depth about our business plans and what makes Organic Genetics different on pages 7, 21, 35, 37 and 45 of our IM. But 3 key points of difference would be the Team behind Organic Genetics, our integrated partners (who are also equity holders) who bring extensive experience and a proven track record in the business of cannabis, our contracts to potentially supply award-winning CBD products, and the pool of genetics we have access to.

In regards to your question regarding valuation. There are many different methods used to calculate valuations, our valuer has used the Discounted Cash Flow Analysis method, you can read more about this on page 10 of our IM.

It’s going to cost two million just to fit out your building once youv spent the two million what’s the plan to bring in another two million?

    Posted on 27-08-2021 by Cameron

Hi Cameron thanks so much for your question. Yes, we predict the total cost for our Internal buildout at our indoor location will cost just over $3million to complete. So simultaneously with our PledgeMe retail campaign, we are running a wholesale campaign also on the PledgeMe platform for the remaining $2million. You can read more about our plans in raising the total of $4 million on pages 11, 12, and 16 of our IM.

Answered on 27-08-2021 by Organic Genetics

Thanks for answering my previous question as a follow-up. With cannabis being federally illegal in the USA and it being illegal to transport or ship it internationally how will you get the genetics from your LA partner to NZ?

    Posted on 27-08-2021 by Simon

Hi Simon, thanks so much for your question, yes you are correct about the legalities in regards to the US. Our partners also have facilities in UK, Canada and Portugal all of which are recognised countries for importation. Hope that helps in your decision making process Simon, we look forward to potentially seeing your pledge up there soon.

Hi there the building you plan to fit out is that currently owned by organic genetics or leased and if it is leased are you planning on buying it with the land ?

    Posted on 28-08-2021 by Cameron

Hi Cameron, thanks so much for your question. You can read more about this on pages 33 and 34 of our IM, but in a nutshell Organic Genetics does not own the land or the building. We will be leasing the building with an option to purchase.

Hi, will you be using organic growing principles for all your cultivation, and will you be organic certified?

Posted on 30-08-2021 by Abby Clements

Hi Abby, thanks so much for your question and for your consideration in investing in Organic Genetics. Yes, we will be aiming to follow organic growing principles with the goal of gaining a organic certification from BioGro.

Answered on 30-08-2021 by Organic Genetics

Thanks for clarifying regarding shipping cannabis from the US. I still don't understand how you will get the genetics from your partner in LA. Your partner in the US would have to transfer their unique genetics to the UK or Canada however this cant be done legally? Am I missing something?

    Posted on 30-08-2021 by Simon

Hi Simon, thanks so much for your question. While bringing in seeds does vary from country to country let alone cannabis seeds, there are a few ways that aren’t widely known to be able to transfer plant genetics legally. We are not privy to disclose that type of information on a public platform though as that is one of the considered advantages we have compared to other cultivators.

Answered on 31-08-2021 by Organic Genetics

The valuation of this concept only company is bananas - $30million with the only real tangible asset being a vague agreement to share genetic ip from a Californian partner (although the other commentator is right - there doesn't actually seem to be any legal avenue to access this federally illegal genetic bank, and the ducking answering this question is telling.) Following on from Medical Kiwis shady paper buying agreement form "Hektares" underpinning their raise, its probably about time people started asking some hard questions on this platform. This is ridiculous.

    Posted on 20-09-2021 by Ed

Hi Ed, I don't see a question for Organic Genetics in your comment above. Can you please consider what your question is for the company. Claire from PledgeMe.

Answered on 20-09-2021 by Organic Genetics

Thanks Clare, my question is - how does this concept only company possibly justify this valuation? Please go further than say "refer to our DCFV"?

    Posted on 20-09-2021 by Ed

Hi Ed, thank you for your question. Valuing a start-up can be contentious, valuations are based on future potential, which can be difficult especially when valuing a company within a new industry, where there are a number of complexities to be considered which may differ from more mature industries.

The Organic Genetics’ company valuation was based on a number of factors, both financial and non-financial but the final value was mostly attributed to our forward-looking multiples and financial modeling which were devised using a collaborative effort from several leading experts from within the financial and medicinal cannabis industries. Organic Genetics is confident in these numbers and how they compare in the market against similar financial modeling devised by other medicinal cannabis companies both locally and internationally.

Other considerations that contributed towards the valuation include but are not limited to: The IP of our proprietary genetics, a specialty genotype unique to Organic Genetics in New Zealand. The extensive experience and proven track record that our global expert team brings in the business of cannabis. Our progress within the licensing scheme, the locations we have secured (We aim to operate via two divisions, cultivating both high-THC cultivars and CBD-rich hemp, operating within a 2,800m2 indoor facility, and cultivating on 50ha of flat land in the Northland area.) Our distribution network into pharmacies nationwide and our partnerships with global and award-winning medicinal cannabis product manufacturers. It’s important for any potential investors to do their own research into fair market value for local and international medicinal cannabis companies, but the Organic Genetics’ Leadership team is confident that the company has been valued correctly and attractively to all potential investors.

Hi if we as share holders are you open to accepting genetics from backyard growers of actual true bred New Zealand strains ?

Posted on 24-09-2021 by Nikora Tiomarama Arundel Wairau

Hi Nikora, thanks so much for your question and also for your pledge. We are really looking forward to welcoming you on board as a shareholder as soon as we reach our minimum target! At this stage we will be focussing on our proprietary genetics, but local genetics are something we are discussing for the future. Big thanks from the OG Team.

Hi Claudio, thanks so much for your question and for all your support so far, we are really looking forward to potentially welcoming you on board as an official investor once we reach our minimum target. If for any reason we don't hit our target, it will unfortunately mean all pledgers will not become shareholders in Organic Genetics and any investment amounts pledged will not be transacted. Organic Genetics will still proceed with our business plans though, beginning phase one of our business - imported products, and will continue to seek private investment for further phases such as cultivation and manufacturing.

Hi. The programme in the IM sounds ambitious (albeit I know nothing about producing medicinal cannabis!) and I didn't see much about the NZ-based team who would actually oversee production and product development etc. How confident are you that you'll be able to find the right talent to build a local team that can keep pace with the planned growth? I'm assuming international partners can only contribute so much being off-shore?

    Posted on 08-10-2021 by Ying

Hi Ying, thanks so much for your question. We are very confident we will be able to find local talent to work in our facilities and execute our planned growth, there is a huge amount of interest from skilled workers that we would be so excited to have on board with Organic Genetics. All local talent we bring on board will also be trained extensively by our Global team, ideally if covid allows that training will take place with our Global team visiting here for training and also sending our NZ cultivation leadership team to LA for specific training around cultivation as well.

    Paul Lee

    Co-founder/CEO

An entrepreneur by nature with a passion for business, Paul has been involved in the direction and management of a number of software solution businesses from initial conception through to mature, well-established companies in New Zealand, Australia, Egypt and the US. This includes his role as National Sales Manager at ForteConnect, National Manager at Zintel (eVoice) New Zealand, and Director of Sales at AVANSER in Australia and New Zealand. For over the last 2 years, Paul has also been involved in the medical sector, running New Zealand Medical Testing which brought in bowel cancer, drug and pregnancy testing instruments from the second largest company Hemosure/WHPM, working closely with Labtests and the Government to introduce a new form of instant testing for colon cancer here in New Zealand. Paul’s key strengths are in developing investment strategies, project management, contract negotiation, sales, marketing and business strategy, developed through his 20 years of business experience. Paul was born in Sydney, Australia and raised in LA, but after 11 years in New Zealand, he considers it his home.

    Jonathan “JJ” Jones

    Global Director

JJ has been in the cannabis industry for over a decade. A majority of his tenure has been as a key executive of Weedmaps, where he led multiple teams to the success of the Weedmaps brand, the first cannabis SaaS platform listed on the Nasdaq. While leading Weedmaps, he was instrumental in establishing and executing winning brand and monetisation strategies for clients in the fledgling cannabis industry. These clients are now globally recognised brands and multi-state operators.establishing and executing winning brand and monetisation strategies, to the success of securing key clients. These clients are now globally recognised brands and multi-state operators. JJ has travelled the world working in every cannabis consumer market, spending a significant amount of time identifying and building relationships with leading operator across multiple sectors. Since his exit from Weedmaps, he has founded Kind Future – a purpose-driven company with projects in energy, hospitality and cannabis. Prior to Weedmaps, JJ was a thought leader in branding and marketing, founding one of the first agencies that focused on data to drive consumer behaviour. Combined with his early years in the entertainment industry and his extensive contacts, JJ’s portfolio of work grants him the ability to leverage relationships and help Organic Genetics establish profitability and awareness.

    Gary Ferenczi

    Global Director

Gary is the Co-founder and current CEO of FarmCeutica and has two decades of concrete construction management experience in the development, implementation and operational handover of some of the largest commercial, residential and industrial projects in Canada. Gary will be directing the Organic Genetics business development team, and his expertise and knowledge in facility construction and distribution strategies will help alleviate mistakes and growing pains made by a majority of new cannabis ventures ensuring the success of Organic Genetics.

    Michael Mishriki

    Quality and Compliance Director

As Organic Genetics’ Quality and Compliance Director, Michael will be overseeing the whole production process from picking the initial strains to putting the final product on the shelf, making sure every step of the process follows the highest quality measures and complies with all regulations. Michael’s qualifications include a Bachelor of Pharmacy from the University of Otago and he has over 12 years working in the pharmaceutical industry. He owns and operates four pharmacies in Auckland; namely Glenavon Pharmacy, Epsom Medical Care Pharmacy, Avondale Medical Pharmacy and Botany Superclinic Pharmacy, and employs over 50 trained professionals. Michael has a particular interest in palliative care and his pharmacies work closely with more than 15 rest homes and hospices across Auckland. Knowing that there is a large segment of the population that does not react well to opioids, he is optimistic about the potential for medicinal cannabis to provide pain relief for that group. Next to his work, Michael currently acts as the Chair for the Glenavon Community Trust, where he helps organise food parcels for people in need, employment assistance and helps run fundraising events for the local community.

You can read more about the the risks and challenges Organic Genetics faces in the Information Memorandum below.

    Organic Genetics In The Media

    BUSINESSDESK | September 2021

"Led in partnership with global cannabis experts, Kind Future, Organic Genetics have assembled a team of industry veterans to share their knowledge and expertise in cannabis cultivation. The company founders believe this will provide Organic Genetics with the insight to avoid the setbacks and challenges that other NZ-based medicinal cannabis companies face, setting themselves apart from other key players in the market."

    SCOOP BUSINESS | September 2021

"One of these veterans is Kind Future’s Founder, Jonathan “JJ” Jones, the Vice Executive President at leading cannabis technology and software company, Weedmaps, which is listed on the NASDAQ with a current market capitalisation of US$3.7bn. Jones has a notable track record of success supporting companies to create paths to revenue through product development, marketing, branding and sales.

Hi there are the videos you guys are using in your video is that your current setup or someone else’s ? Are you currently growing ?
