- are an investment business, in that their principal business involves investing in financial products, acting as an underwriter, providing financial advisory services, providing broking services or trading financial products;
- have, during the previous two year period, owned a portfolio of, or carried out transactions to acquire financial products of a value of at least $1 million;
- have, in the previous two years, materially participated in the investment decisions made by an investment business;
- have, or any entities controlled by them, have, as at the last day of the two most recently completed financial years, net assets or total consolidated turnover exceeding $5 million;
- are "eligible investors", and have certified that they have previous experience in acquiring or disposing of financial products that allows them to assess:
- the merits of the transaction;
- their own information needs in relation to the transaction;
- the adequacy of the information provided, that they understand the consequences of so certifying, and the grounds for this certification; or
- an authorised financial adviser, a chartered accountant, or a lawyer signs a written confirmation of the certification.

Explanation of valuation:
The pre-money valuation is $25,658,757. The valuation is based on a calculation of long-term net tangible assets in the Balance Sheet for the forecasted full financial and reference year 2022-2023 being $30,658,757 made up of:
Property: 120ha farm and existing residential, commercial and farm buildings - $9,000,000
Plant: Stage 1, 2 and 3 buildings - $20,910,522
Equipment: $757,234
and the calculation including a consideration of intangible assets, less the PledgeMe campaign maximum value of $5,000,000 (if fully subscribed).
Intangible assets are namely, a license for the use of the Intellectual Property (IP) in perpetuity. The license includes but is not limited to: the Waikato Culture Park & L.E.NA Foundation Business Models, Domain Name Registrations and pending Trademarks, Indigenous Cultural Programs, Performing Arts and Annual Events Program, Education Outside the Classroom (EOTC) Annual Program, Environmental Sustainability Program and Solar Energy Revenue Scheme.
Another common method of valuation is to use a 4.5 multiplier x forecasted net profit, however, we have chosen to base the valuation on tangible assets such as land and buildings and the IP for their long-term value.
